Representatives (DEVELOPMENTCENTERS, NUCLEUS & PROMOTERS) , Associates ( ATC & MLOShops) and Members ( Free citizens, & Premier Citizens )

e-Tran world Commerce, its Representatives and Associates have one mission: "to help business members Compete Locally and Expand Globally with minimum risk and cost". e-Tran world Commerce's Representatives are 'Active Local Trade Experts' involved in international trading. Their mission is to promote products and services of e-Tran world Commerce's members in their local markets. e-Tran world Commerce's Associates are "Essential Business Services Providers". Associates' mission is to assist members in different countries to expand into the Associates' local markets. e-Tran world Commerce's members are companies and traders in different regions, countries and cities worldwide. To ensure that e-Tran world Commerce's Representatives, Associates and Members receive the highest standards of business practices, all have agreed to abide by the Code of Ethics of e-Tran world Commerce:

1) All shall maintain high standards of services, openness, transparency and accuracy.
2) All shall offer products and services only if they have the knowledge, experience or competence to perform them.
3) All shall make commitments only when they can be met, and thereafter will take all possible steps to ensure that they are fulfilled.
4) e-Tran world Commerce, Representatives and Associates shall act at all times in the legitimate interest of e-Tran world Commerce's members and provide services with integrity, fidelity and faithfulness. At the same time, 'ALL' shall act with fairness and justice in dealings between buyers, sellers and other commercial entities.
5) Representatives and Associates shall not accept financial or other compensation from more than one interested party for the same service, or for services pertaining to the same transaction, without the consent of all interested parties.
6) All shall ensure that information provided to e-Tran World Commerce' members and others is truthful, impartial and accurate.
7) All shall not disclose information concerning the business or technical affairs of e-Tran World Commerce's member's) without the consent of the member, unless there is a legal duty to do so.
8) All shall ensure that the terms & conditions of e-Tran world shall be strictly maintained.
9) The Law of the respective country will be applicable for the enforcement of the Loyalty Coupon.

TERMS & CONDITIONS:

This agreement starts the day you apply for your membership. Membership Fees DO NOT apply to the free membership offer or to the Free Citizen.

BETWEEN: e-Tran world .com., a venture of KEDIA GROUP having its corporate and records office at 513, Swapnalok Complex SD ROAD , Secunderabad , AP INDIA 500003.  

("e-Tran world") AND (the "Member")

WHEREAS: A. e-Tran world has created a global Internet based commerce network (the "Network") designed to facilitate and enhance international trade and commerce; and B. The Member desires to have access to the Network. NOW THEREFORE THIS AGREEMENT WITNESSES THAT, for good and valuable consideration (the receipt and sufficiency of which is acknowledged), the parties hereby covenant, agree, represent and warrant as follows:

1. Membership Subject to the terms and conditions of this agreement, the Member hereby applies for and e-Tran world hereby grants to the Member, membership in the Network (the "Membership").

2. Term The initial duration of the Membership shall be the duration chosen by the Member in the Application Form.

3. Membership Dues (membership fees do NOT apply to the free membership offer while sales fees do apply): Upon execution of this agreement by the Member, the Member shall pay to e-Tran world Membership fees (which do not include taxes) on the following basis:

The sales fee is the normal sales fee the Member agrees to pay to e-Tran world in the product listing application . e-Tran world reserves the right to, without notice, increase Membership dues.

4. Obligations of e-Tran world e-Tran world shall endeavor to maintain and expand the Network so as to maximize the benefit to Members.

5. Obligations of Member The Member shall:
5.1 pay in the manner required all Membership dues and "Sales Fees" owing to e-Tran world pursuant to this agreement or otherwise; 

5.2 abide by the letter and the spirit of the "Code of Ethics" of e-Tran world as may be amended from time to time;

  5.3 post only accurate true and complete information on the Network and up-date such information as is necessary in connection with the same from time to time;

5.4 complete the Membership Application Form in a true, complete and accurate manner;

5.5 pay all services costs and fees requested by or incurred by the member; and 

5.6 not reveal, either directly or indirectly, its identity on the Network.

5.7 Shall do the minimum transaction of Rs.250/- every month ,i.e, buy products/services from the ATC/MLO Shop or online store on website every month failure which member will loose the benefits of that month.

6. Indemnity
6.1 The Member, and every director, officer, shareholder and employee of the Member shall indemnify and save harmless e-Tran world and all of e-Tran world's directors, officers, shareholders and affiliates, from any and all losses, damages and costs incurred by e-Tran world, its directors, offices, shareholders and affiliates resulting out of or in any way in connection with any breach of the Member's obligations hereunder. The indemnity provided by this section 6 shall survive expiration or termination of this agreement.

6.2 The Member agrees that e-Tran world shall not be liable for any direct, or indirect damages, resulting from the use or the inability to use the Network or for cost of procurement of substitute goods and services or resulting from any goods or services purchased or obtained or transactions entered into through or from the Network or resulting from unauthorized access to the Network, including but not limited to, damages for loss of profits, or other intangible, even if e-Tran world has been advised of the possibility of such damages; and

6.3 The Member further agrees that e-Tran world shall not be liable for any damages arising from interruption or suspension of service, including but not limited to direct, indirect, incidental, special consequential or exemplary damages, whether such interruption, suspension or termination was justified or not, negligent, inadvertent or intentional.

7. Termination e-Tran world may terminate this agreement immediately without notice. The Member may terminate this agreement upon 30 day's written notice to e-Tran world. In the event of such termination, no fees paid to date will be refunded by e-Tran world to the Member. In the event of breach by the Member, e-Tran world may, without notice, immediately terminate this agreement.

8. Ownership of Intellectual Property The Member acknowledges that the Network, and all trademarks in connection therewith, uses, applications and intellectual property, books, manuals, documents and all other tangible or intellectual property in connection therewith is solely owned by or on behalf of e-Tran world and nothing in this agreement shall in any way give or be deemed to give to the Member any interest therein except for the right to make use of the Network on the terms and conditions set out in this agreement.

9. Miscellaneous
9.1 This agreement shall be construed in accordance with the laws of the Province of India, Andhra Pradesh,Hyderabad . The parties agree that all disputes arising out of or in connection with this agreement, or in respect of any defined legal relationship associated therewith derived there from, shall be referred to and resolved by arbitration of the rules of the India, Andhra Pradesh,Hyderabad International Commercial Arbitration Center. 9.2 Any notice shall be sufficiently given if delivered by the address of the parties first above written.

9.3 Time is of the essence of this agreement.

9.4 This agreement may not be assigned in whole or in part by the Member. For the purposes of this subsection, a change of control of the Member shall be deemed to be an assignment. IN WITNESS WHEREOF the parties hereto have duly and properly executed this agreement as of the date first above written.
