MERCHANT LOYALTY OPERATION SHOP (MLO) BUSINESS ASSOCIATES     
                                                                          AGREEMENT FORM

This Agreement is made at ____________________ the ______ day of ________ between M/s Kedia Technologies Limited, 513 Swapnalok Complex, S.D. Road, Secunderabad – 500003, herein after called the offer or the Business Associate (of the first part).           

                                              AND 

 M/s ________________________________________ situated at ____________________________ _______________________________________Banking at ____________________________ account _____________ Branch __________________________________. At the Counter, herein after called the offered i.e., "Seller" (who sells goods and services to the eTran Cardholders i.e., the cardholders of the above said Business Associates of other part.


1) The Seller shall carry the business or render services only in the premises described in the schedule or any other premises approved by the Business Associate and in no other. You shall comply with all the reasonable requirements of the Business Associates and which are consistent with the terms and conditions of this agreement and which are necessary for the efficient discharge of the service connected with the business.


2) The Seller shall do nothing which will prejudice or damage the goodwill in the market or adversely effect the reputation of the Business Associate and shall abide by all the directions of the Business Associate in connection with the operations.


3) The Seller shall maintain the highest standards in all matters connected with the business and render Services relating to Business diligently to the reasonable satisfaction of the Buyers/etran Cardholders and in no way Business Associate is responsible for the items and quality supplied by him and he will be responsible for his acts as per laws applicable to him with regard to license and other legal matters.


4) The Seller shall alone be responsible of the warranty given on the product sold to the Buyer/eTran cardholders. All taxes as applicable on the product & any other liabilities on the products & services, the BUSINESS ASSOCIATE is not responsible in any manner what so ever.


5) The Seller shall permit the Business Associate and or his duly authorized agent to interact with the Customers and his personnel to know about the services being provided by him.


6) The Seller shall purchase minimum 500 seed codes @ 3/- each and issue the same to the Buyers on every purchase made by them and agree to issue a Seed code on every purchase of Rs._____________.


7) The Business associate shall not be held responsible for any misuse of the Seed Codes issued to the Seller and for any lapses committed by the seller, legal or otherwise.


8) The Seller shall not make any claims on the Business Associate for any loss and or damage caused due to the negligence of buyers or etran cardholders anytime. The seller should not engage in any unlawful business and for that he alone should be liable. You shall indemnify and keep indemnified the Business Associate from and against all loss, damage or liability suffered by the Business Associate due to any act, omission or negligence of Seller.


9) The Seller shall obtain prior written consent before making any structural change in the trading style for further updations in our records.


10) The Business Associate shall assist the sellers in establishing and efficiently discharging the services connected with the Business.


11) The BUSINESS ASSOCIATES may terminate this agreement with a notice of 45 days, if :

a) The Seller fails to give the products to the Buyer/e- Tran Member as per provisions of this agreement.

b) The Seller winds up or takes any step to wind up the business.

c) The BUSINESS ASSOCIATES intellectual property rights to the services are challenged by the Seller.


12) After the termination of the Agreement, any information or references provided by the BUSUBESSN ASSOCIATE to the Seller during the subsistence of this Agreement shall not be disclosed to third person.


13) The Seller not to violate the terms & conditions of the Agreement & if any violation is done by the seller he will be dealt with according to law.


14) The Kedia Infotech Limited, subject to conciliation & Arbitration appoints any disputes arsing out of this, & the venue will be Hyderabad jurisdiction only.
